We write in response to your March 11, 2019 request for information pursuant to the Rhode Island Access to Public Records Act (APRA).  Your specific request is noted below along with our corresponding response.

All documents related to the state's investment in Point Judith Capital, including but not limited to the original 10-year agreement and any amendments/extensions.

Your request was later clarified on March 22, 2019 to include:

1) Contract/agreement with PJC and amendments, 2) correspondence regarding the three extensions, 3) materials from the original investment pitch/decision back in 2006, 4) any correspondence to or from Gina Raimondo, venture-capitalist, treasurer and now governor with the Treasurer’s Office/SIC regarding Point Judith Capital, and 5) any analysis by the SIC/Treasury’s investment advisors regarding initial investment in PJC. 

1: The contract with Point Judith Capital and related amendments contain trade secrets and commercial or financial information that is of a privileged or confidential nature, and as such are exempt from public disclosure pursuant to R.I.G.L. § 38-2-2(4)(B).

2: Please find attached the documents responsive to your request for correspondence regarding the three extensions.  Kindly note that the documents have been redacted pursuant to R.I.G.L. § 38-2-2(4)(B) as it contains trade secrets and commercial or financial information that is of a privileged or confidential nature.

3: Please find attached the documents responsive to your request for materials from the original investment pitch/decision in 2007. Kindly note that the document has been redacted pursuant to R.I.G.L. § 38-2-2(4)(B) as it contains trade secrets and commercial or financial information that is of a privileged or confidential nature.

4: In regards to your request for any correspondence to or from Gina Raimondo as “venture-capitalist” with the Treasurer’s Office or the SIC regarding Point Judith Capital, please find attached the documents responsive to your request.  Regarding your request for any correspondence to or from Gina Raimondo as “treasurer” documents have been withheld pursuant to R.I.G.L. § 38-2-2(4)(M) as it contains correspondence to or from an elected official in their official capacity.  In response to your request for correspondence to or from Gina Raimondo as “governor” with the Treasurer’s Office or the SIC regarding Point Judith Capital, be advised that no such documents exist.

5: Please find attached the documents responsive to your request for any analysis by the SIC or Treasury’s investment advisors regarding the initial investment in Point Judith Capital.  Kindly note that the document has been redacted pursuant to R.I.G.L. § 38-2-2(4)(B) as it contains trade secrets and commercial or financial information that is of a privileged or confidential nature.

If you contend you have been denied access to public records, pursuant to R.I.G.L. § 38-2-8, you may appeal this decision to Amy Crane, General Counsel, 50 Service Avenue, 2nd Floor, Warwick, RI 02886.  You may also file a complaint with the Department of the Attorney General, 150 South Main Street, Providence, RI  02903 or the Rhode Island Superior Court of the county where the records are maintained.
