  1. Copies of all analyses, reports, and summaries related to ERSRI’s real estate investments, as well as the investment performance and total fees related to these investments.
  2. Copies of any prospectuses, offering memoranda, subscription agreements and any side letters or agreements related to these real estate investments.
  3. Copies of any correspondence or communications related to these real estate investments.
  4. Copies of any contracts between the Fund and any real estate investment consultant or other party providing analyses or recommendations related to the Fund’s real estate investments.

We write in response to your request for information pursuant to the Rhode Island Access to Public Records Act (APRA).  Your specific request is noted below along with our corresponding response.

  1. Copies of all analyses, reports, and summaries related to ERSRI’s real estate investments, as well as the investment performance and total fees related to these investments.

  • Attached please find monthly portfolio-level real estate fund performance from December 31, 2005 to June 30, 2009. Monthly portfolio-level real estate fund performance from June 30, 2009 through present and quarterly fund-level real estate performance from June 30, 2015 to present are located in the SIC Reports which may be found on Treasury’s website at:  http://data.treasury.ri.gov/group/state-investment-commission-reports.
  • Attached please find analyses, reports, and summaries related to ERSRI’s real estate investments that ERSRI was able to locate and review within the required timeframe under the Access to Public Records Act. Analyses, reports, and summaries from April 2015 to present are located in the SIC Reports which may be found on Treasury’s website at: http://data.treasury.ri.gov/group/state-investment-commission-reports.
  • Records pertaining to fees prior to 2012 and analyses, reports, and summaries that have not already been provided would require a search and retrieval of our archive.

Due to the number of years requested and the number of investments that ERSRI holds, it is reasonably estimated that it will take approximately 72 hours to search, retrieve and review additional documents that may be responsive to your request.  Pursuant to Rhode Island General Laws §38-2-4, ERSRI may charge $15.00 per hour (with the first hour free) for search and retrieval. ERSRI has already expended in excess of fourteen (14) hours on your request, therefore a charge of $1080.00 (72 hours x $15) will be assessed in the event that you would like for us to undertake this analysis and review.  Kindly provide pre-payment in the amount of $1080.00 to our office. 

Please be advised that payment does not guarantee that the records you have requested constitute public records (in whole or in part, i.e. redacted), but only authorizes this office to conduct a search and retrieval to determine if responsive records exist.  Should actual fees exceed the pre-payment estimate this office will advise you and seek your authorization before continuing.  Should your pre-payment exceed actual search, retrieval, and copying, you will, of course, be reimbursed.  Please note the time in which our office has to respond to your request is tolled until payment is received.

  1. Copies of any prospectuses, offering memoranda, subscription agreements and any side letters or agreements related to these real estate investments.

Due to the voluminous nature of your request, the number of years that you seek, and the number of investments ERSRI holds in real estate, it is reasonably estimated that it will take approximately 180 hours to retrieve and review documents responsive to your request.  Additionally, the documents responsive to your request likely contain information that is exempt from public record pursuant to Rhode Island General Laws § 38-2-2(A)(II)(B) and would require redaction.

Pursuant to Rhode Island General Laws §38-2-4, ERSRI may charge $15.00 per hour (with the first hour free) for search and retrieval. ERSRI has already expended in excess of fourteen (14) hours on your request, therefore a charge of $2,700.00 (180 hours x $15) will be assessed in the event that you would like for us to undertake this analysis and review.  Kindly provide pre-payment in the amount of $2,700.00 to our office. 

Please be advised that payment does not guarantee that the records you have requested constitute public records (in whole or in part, i.e. redacted), but only authorizes this office to conduct a search and retrieval to determine if responsive records exist.  Should actual fees exceed the pre-payment estimate this office will advise you and seek your authorization before continuing.  Should your pre-payment exceed actual search, retrieval, and copying, you will, of course, be reimbursed.  Please note the time in which our office has to respond to your request is tolled until payment is received.

  1. Copies of any correspondence or communications related to these real estate investments.

We have identified approximately 113,813 email messages which may be responsive to your request.

It is reasonably estimated that it would take approximately 474.22 hours to retrieve and review these communications.  Pursuant to Rhode Island General Laws §38-2-4, ERSRI may charge $15.00 per hour (with the first hour free) for search and retrieval. ERSRI has already expended in excess of fourteen (14) hours on your request, therefore a charge of $7,113.30 (474.22 hours x $15) will be assessed in the event that you would like for us to undertake this analysis and review.  Kindly provide pre-payment in the amount of $7,113.30 to our office. 

Please be advised that payment does not guarantee that the records you have requested constitute public records (in whole or in part, i.e. redacted), but only authorizes this office to conduct a search and retrieval to determine if responsive records exist.  Should actual fees exceed the pre-payment estimate this office will advise you and seek your authorization before continuing.  Should your pre-payment exceed actual search, retrieval, and copying, you will, of course, be reimbursed.  Please note the time in which our office has to respond to your request is tolled until the fees are paid.

  1. Copies of any contracts between the Fund and any real estate investment consultant or other party providing analyses or recommendations related to the Fund’s real estate investments.

Attached please find contracts with The Townsend Group and Pension Consulting Alliance.  Kindly note that these contracts were previously provided to you on May 18, 2015.

In the event that you issue payment and direct ERSRI to complete the additional search and retrieval, ERSRI will need additional time to respond.  Therefore, pursuant to Rhode Island General Laws §38-2-3(e), ERSRI will respectfully request an additional twenty (20) business days to respond due to the voluminous nature of your requested, the number of years that your request spans, and the number of investments involved.  This extension, however, will not be calendared until or unless pre-payment in the amounts provided above are received by us.  Alternatively, you may seek to clarify or narrow the scope of your request.

Kindly note that ERSRI has expended in excess of fourteen (14) hours in preparation of this response and has provided approximately 1,267 pages of documents in addition to what is available online at no cost to you.

If you contend you have been denied access to public records, pursuant to Rhode Island General Laws §38-2-8, you may appeal this decision to Jeffrey M. Padwa, General Counsel for the Rhode Island General Treasurer’s Office, 50 Service Avenue, 2nd Floor, Warwick, RI 02886. You may also file a complaint with the Department of the Attorney General, 150 South Main Street, Providence, RI 02903 or the Rhode Island Superior Court of the county where the records are maintained.
